These Terms of Service (“Terms”) govern your access to and use of Tendwa (the “Service”), provided by MI INNOVATIONS LLC. By creating an account or using the Service, you agree to these Terms, along with our Privacy Policy, Acceptable Use Policy, and Payment Policy.
1. Eligibility and accounts
You must be at least 18 years old and authorized to bind your business. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
2. Subscription and billing
- Plans are billed monthly or annually in advance, per location.
- Trials, where offered, convert to a paid subscription unless cancelled before the trial ends.
- Prices may change with at least 30 days’ notice for active subscriptions.
- Payments are processed by our payment partner; chargebacks may suspend your account. See our Payment Policy.
3. Cancellation and refunds
You may cancel anytime from your billing settings. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial periods, except where required by law.
4. Acceptable use
Your use of Tendwa is governed by our Acceptable Use Policy. In summary, you agree not to:
- Use the Service for unlawful purposes or to violate the rights of others.
- Send unsolicited marketing SMS or violate carrier rules (TCPA, CTIA, etc.) — see SMS Terms.
- Reverse engineer, copy, or resell the Service.
- Interfere with the integrity or performance of the Service.
- Upload malware, scrape data, or attempt unauthorized access.
5. Customer data
You retain all rights to data you upload (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide the Service. Our handling of personal data is described in our Privacy Policy and our Data Processing Agreement.
6. Service availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be announced when reasonably possible. Enterprise plans may include a separate SLA.
7. Third-party integrations
The Service may integrate with third-party tools (e.g., Stripe, Mailchimp, plate / VIN decoders). Your use of those services is governed by their own terms. We are not responsible for third-party outages or data handling.
8. Auto repair disclaimer
Tendwa provides software tools used by independent automotive service shops. We are not the auto-repair provider, and we are not responsible for the quality of services performed by shops using the Service. See our Auto Repair Disclaimer.
9. Intellectual property
Tendwa, including all software, design, and content (excluding Customer Data), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription.
10. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
12. Indemnification
You agree to indemnify and hold us harmless from any claim arising from your use of the Service in violation of these Terms or applicable law.
13. Termination
We may suspend or terminate your access for material breach of these Terms or non-payment, with notice where reasonable. Upon termination, your right to use the Service ends; export your data within 30 days.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via email or in-product notice at least 30 days before taking effect. Your continued use after the effective date constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Disputes will be resolved in the state and federal courts located in Sacramento County, California.
